Terms of Use

1. Acceptance of Terms

These Terms of Use govern your access to and use of the services provided by Karla Soto DDS LLC, doing business as "Key Elements" ("Key Elements," "we," "us," or "our"), including keyelements.ai, member.keyelements.co, and related applications (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

2. Nature of Services and AI Disclaimer

Key Elements provides strategic reporting, analysis, calculators, and educational services for dental practices using advanced data processing technologies, including third-party artificial intelligence (AI) providers. Our primary AI provider is Anthropic (Claude models); we may also use Google (Gemini models) as a fallback provider.

• AI Limitations: You acknowledge that reports, briefings, and analyses generated by Key Elements are partially created by AI. While we strive for accuracy, AI systems can occasionally generate incorrect, misleading, or biased information ("hallucinations").
• No Professional Advice: The content provided in our reports, calculators, and other outputs is for informational purposes only. It does not constitute professional legal, medical, dental, accounting, tax, or financial advice. You should verify all AI-generated and calculated outputs with qualified professionals before taking action based on them.

3. Calculators and Interactive Tools

The Services include interactive tools (for example, revenue projection and team bonus calculators). Outputs of these tools are estimates derived entirely from the data you enter. They are provided for planning and informational purposes only. You are solely responsible for verifying results before making compensation, hiring, financial, or business decisions based on them.

4. User Data and Responsibilities

You are responsible for the data you submit to Key Elements.

• Authorization: You warrant that you have all necessary rights, consents, and permissions to share any data you provide to us. This includes information about other people — for example, the names, roles, or compensation of your practice's team members entered into calculators, or attendee details you register for events.
• Sensitive Data Warning: While Key Elements employs anonymization techniques, you agree not to submit unredacted patient Protected Health Information (PHI) and to minimize the transmission of unredacted Personal Identifiable Information (PII) unless explicitly requested. The Services are designed for practice-level business data, not patient records. You acknowledge that transmitting highly sensitive data carries inherent risks.
• Accuracy: You are responsible for the accuracy of the data you enter; outputs are only as reliable as the inputs.

5. Our Anonymization Process

We take privacy seriously. Before processing your data through third-party AI providers, Key Elements employs a two-layer anonymization protocol — deterministic redaction rules plus a natural-language PII detection service (Microsoft Presidio, operated by us on our own infrastructure) — designed to strip direct identifiers (such as names, SSNs, and specific addresses). However, you acknowledge that no data transmission over the internet is 100% secure.

6. Intellectual Property

• Your Data: You retain ownership of the raw data you submit.
• Our Reports: Key Elements retains the rights to the format, structure, and proprietary methodologies used in the generated reports and tools. We grant you a non-exclusive, non-transferable license to use the final reports and outputs for your internal business or personal use.

7. Data Retention and Deletion

Our retention practices are described in the Privacy Policy. You may request deletion of your account data at any time by emailing support@keyelements.co; we will respond within 30 days. Certain records (for example, payment and transaction records) may be retained as required by law.

8. Limitation of Liability

To the fullest extent permitted by law:

• Key Elements shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of the Services, including damages arising from decisions made in reliance on reports, calculators, or AI-generated outputs.
• Key Elements shall not be liable for errors, omissions, or inaccuracies resulting from the use of third-party AI tools, or for data breaches occurring at the level of a third-party provider.
• In no event shall Key Elements' total aggregate liability arising out of or related to the Services exceed the greater of (a) the amounts you paid to Key Elements for the Services in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

9. Indemnification

You agree to indemnify and hold harmless Key Elements, its owners, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) resulting from (a) your violation of these Terms, (b) your submission of data for which you did not have the appropriate rights or consents, or (c) your use of the Services in violation of applicable law.

10. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the version number and date above and may require you to re-accept the Terms before continuing to use the Services. Continued use after changes take effect constitutes acceptance.
